Terms of Service

These Terms of Service ("Terms") govern your access to and use of Manni AI's website, products, and services (the "Services"), provided by Manni AI ("we," "us," or "our"), based in British Columbia, Canada. By using the Services, you agree to these Terms. If you don't agree, please don't use the Services.

1. Your account

To use Manni AI, you'll need to provide accurate information about yourself and your business during sign-up and onboarding. You are responsible for keeping your account credentials secure and for all activity that happens under your account. If you believe your account has been compromised, contact us at hello@manniai.com right away.

2. The Services

Manni AI provides an AI-powered receptionist service that answers incoming phone calls on your behalf, captures caller information, and delivers summaries of those calls to you. The specific features available to you depend on your subscription plan.

4. Subscriptions, billing, and cancellation

Plans and pricing

Manni AI is offered on a monthly subscription basis with multiple plan tiers, each including a set number of call minutes and unlimited SMS and email summaries. Current plans, pricing, and included minutes are listed on our pricing page. Prices are subject to applicable taxes.

Minute usage and overages

Each call is measured by duration and rounded up to the nearest whole minute. A 30-second call counts as 1 minute; a 1-minute 2-second call counts as 2 minutes. If your usage exceeds your plan's included minutes in a given billing period, additional minutes are billed at the overage rate in effect at the time, as listed on our pricing page. Overage charges appear on your next invoice.

Billing

Subscription fees are billed monthly in advance, starting on the day you sign up. By providing payment information, you authorize us to charge the payment method on file. If a payment fails, we may retry the charge and may suspend your account until payment is resolved.

Cancellation

You can cancel your subscription at any time by contacting us or using the cancellation option in your account. Cancellation takes effect at the end of your current billing period — you'll retain access to the Services until that date, and you won't be charged again. We don't provide refunds for partial months unless required by law.

Price changes

We may change our prices from time to time. If we do, we'll give you at least 30 days' notice before the change takes effect, and you can cancel if you don't agree to the new pricing.

5. Call recording and caller consent

If you enable call recording, you are responsible for ensuring that call recording complies with applicable laws in your jurisdiction and the jurisdictions of your callers. In Canada, "one-party consent" generally applies, but we recommend disclosing to callers at the beginning of each call that the call is being handled by an AI system and may be recorded. We can help you configure such a disclosure.

6. Your content and data

You retain ownership of any information, content, and data you provide to Manni AI, as well as any information captured from calls handled on your behalf (collectively, "Your Content"). You grant us a limited license to use Your Content solely for the purpose of providing, maintaining, and improving the Services. We will never sell Your Content. 7. Our intellectual property

The Manni AI brand, software, website, and all related intellectual property are owned by us. These Terms do not grant you any rights to our intellectual property except as necessary to use the Services.

8. Service availability

We aim to provide reliable, high-quality service, but we don't guarantee that the Services will be uninterrupted, error-free, or available at all times. We may experience downtime for maintenance, updates, or due to circumstances beyond our control. We are not liable for any inability to access the Services during such periods.

9. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that Manni's AI will handle every call correctly or capture information with perfect accuracy. You are responsible for reviewing call summaries and following up with callers as needed.

10. Limitation of liability

To the fullest extent permitted by law, Manni AI and its founders, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Services, even if we've been advised of the possibility of such damages. Our total liability for any claim related to the Services will not exceed the amount you paid us in the 12 months before the claim arose.

11. Indemnification

You agree to defend, indemnify, and hold harmless Manni AI from any claims, damages, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, fail to pay, or engage in activity that harms us or other users. You may stop using the Services at any time by cancelling your subscription.

13. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services will be resolved in the courts of British Columbia, and you consent to the jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date above. For material changes, we'll notify you via email or a notice on our website. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
